Take-private deals in 2026: every public-to-private buyout we track, with prices and SEC filings
A take-private is a buyout that turns a listed company into a private one. Here is every take-private on Recent Funding since October 2025, with the buyers, the prices and the SEC filings behind them, who is doing them and in which sectors.

A take-private (also called a going-private transaction or a public-to-private deal) is an acquisition in which a buyer, usually a private equity firm, buys all the shares of a listed company and delists it. As of October 12, 2026, Recent Funding tracks 96 take-privates, 45 of them announced in 2026. 82 were made by private equity buyers or their portfolio companies, and 13 come with the buyer's proxy statement on file with the SEC. The largest with a price stated in a source is Electronic Arts, taken private by Public Investment Fund for $52.52B.
Every deal below is on the take-private list, updated daily, and in the API.
How a take-private works
The buyer agrees a price per share with the company's board, usually at a premium to the market price. For a US company, the board then files a definitive proxy statement with the SEC (form DEFM14A) that sets out the merger agreement, the price, the background of the sale and the fairness opinions, and shareholders vote on it. Once the deal closes, the shares stop trading and are delisted. Outside the US the route differs (a UK company usually uses a scheme of arrangement, a Japanese one a tender offer), but the result is the same: the company leaves the stock market.
Recent Funding marks a deal as a take-private on evidence: a headline about the deal says so ("take private", "go-private", "delist"), or a private equity buyer (or a company it owns) bought a company whose listing a headline gives (a price per share, a tender offer, its ticker) or whose listing is on record, with an article about the deal that confirms it. US deals are also found from the filings a take-private has to make on SEC EDGAR: merger proxies, tender offers and going-private statements that name a private equity firm as the buyer's sponsor.

Prices are the figure the source gives: for a US deal usually the equity value from the proxy statement (the price per share times the shares), elsewhere often the enterprise value from the announcement, converted to US dollars on the day of the announcement.
Take-privates confirmed by an SEC filing
These are the take-privates whose merger proxy statement is linked, the strongest evidence a deal is a take-private: the filing names the buyer's acquisition vehicle, the price per share and the shareholder vote.

Who is doing the take-privates
Take-privates by private equity firm, the firm's own deals and those of the companies it owns together, firms with more than one first:
| Firm | Take-privates | Share | Price announced |
|---|---|---|---|
| Blackstone | 6 | 7% | 6 |
| Thoma Bravo | 6 | 7% | 5 |
| KKR | 4 | 5% | 3 |
| Advent International | 3 | 4% | 3 |
| Francisco Partners | 3 | 4% | 2 |
The two software specialists lead: Francisco Partners (Weave, Jamf and Blackline Safety) and Thoma Bravo (PROS, Kneat and the specialty insurer Accelerant) have three each. Beyond them the list is spread out, with one take-private for most firms. The other 14 take-privates were bought by companies and other investors, such as a competitor or a growth equity firm. Every firm's take-privates are on its page in the PE firm directory.

Health care leads: medical device makers (Hologic, Integer, Avanos Medical), a home health and hospice operator (Enhabit), a hospital operator (Select Medical) and a pharmaceutical company (Esperion). Industrial companies come next. Recent Funding's categories are built for startups, so traditional businesses land in the nearest one: industrial manufacturers and distributors are in robotics and hardware, and software companies are spread over the category of what their software does (Clearwater Analytics and Accelerant in insurtech, Jamf in security, PROS and Weave in AI).
What this list misses
This is not every take-private in the world. A deal is only here when Recent Funding found evidence of a listing: an SEC filing, a headline that says the company goes private or gives its ticker, or an article that confirms the listing on record. A take-private whose sources say neither stays among the private equity deals without the mark until one does; a sale of a listed company's division or business unit never gets it, since the parent stays listed. For the market as a whole, PitchBook counted 11 US PE take-privates in the second quarter of 2026, worth $6.2B, a 90.1% fall from the first quarter, as sponsors held back with public markets at new highs.
A review of this list for this post also took out records that were wrong: a few SEC filings had been matched to the wrong buyer or company name, one deal was a division sale rather than a take-private, and one was an old deal with a new date. They are left out here and reported for a fix at the source.
Take-privates and AI
Each take-private on Recent Funding also carries ai_thesis: set when an article about the deal says the buyer plans to rebuild the company around AI, with the sentence and its source. As of October 12, 2026, 1 of the 96 take-privates have one. Whether private equity will take companies private to rebuild them around AI and then list them again is an idea worth watching, and the evidence for it so far is in its own post.
